Subscription Terms of Service

1. About These Terms

These Subscription Terms of Service ("Subscription Terms") govern your purchase of, payment for, and ongoing access to paid subscriptions, day passes, and other paid or restricted-access features of the KnowledgeKeepr platform, website, and application (collectively, the "Service"), operated by KnowledgeKeepr AI Ltd. ("KnowledgeKeepr," "we," "us," or "our").

These Subscription Terms are incorporated into, and form part of, the KnowledgeKeepr Terms and Conditions of Use ("General Terms"). Capitalized terms not defined here have the meaning given to them in the General Terms. In the event of a conflict between these Subscription Terms and the General Terms with respect to fees, billing, renewal, cancellation, or refunds, these Subscription Terms govern. In all other respects, the General Terms govern.

By purchasing or maintaining any paid Plan, Day Pass, or Band Member Account, you agree to these Subscription Terms.

2. Plans and Account Types

KnowledgeKeepr offers access to the Service on the following bases (each, a "Plan"):

  1. Professional — a recurring subscription billed monthly or annually, granting access to the Service's features as described at the time of purchase.
  2. Enterprise — a recurring annual subscription for organizational use, granting expanded access and features as set out in your Enterprise order form or as described at the time of purchase. Enterprise Plans may be subject to a separate written order or agreement, which, where it exists, governs to the extent of any conflict with these Subscription Terms.
  3. Day Pass — a one-time, non-recurring purchase granting time-limited access to the Service for the period specified at the time of purchase. A Day Pass does not automatically renew.
  4. Band Member Account — an account available to verified members of a First Nation, granting access only to the pages and Content relating to that member's own Nation. The basic Band Member Account is provided at no charge, subject to the usage limits described below.
    1. Eligibility and verification. Access is granted only to individuals who establish, to KnowledgeKeepr's reasonable satisfaction, that they are members of the Nation whose pages they seek to access. KnowledgeKeepr may suspend, terminate, or delete a Band Member Account at any time, with or without cause or notice, including where eligibility cannot be established or is later lost.
    2. Scope of access. A Band Member Account grants access only to the requesting member's own Nation's pages and Content. It does not grant access to the Content of any other Nation or to features reserved for paid Plans.
    3. Usage limits and upgrades. Band Member Accounts are subject to usage limits, which are described on our pricing page or at the point of access and may change from time to time. Access beyond those limits may require purchase of a paid Plan or paid upgrade at the applicable Fees.
    4. Other terms. All other provisions of these Subscription Terms and the General Terms, including the prohibited uses in Section 6 of the General Terms, apply to Band Member Accounts.

The features, access levels, usage limits, and current prices for each Plan are described on our pricing page and at the point of purchase ("Checkout"). KnowledgeKeepr may add, modify, or discontinue Plans at any time, subject to Section 9.

3. Fees and Pricing

The fees applicable to your Plan are those displayed at Checkout at the time you complete your purchase ("Fees"). The Fees displayed at Checkout control over any other description of pricing, including any summary in these Subscription Terms or elsewhere on the Service.

Unless otherwise stated, all Fees are quoted and charged in Canadian dollars (CAD) and are exclusive of applicable taxes, which are addressed in Section 8.

You are responsible for reviewing the Fees, billing frequency, and renewal terms presented at Checkout before completing your purchase.

4. Payment Processing (Stripe)

All payments for the Service are processed by our third-party payment processor, Stripe, Inc. and its affiliates ("Stripe"). KnowledgeKeepr does not collect or store your full payment card number or other complete payment credentials; these are handled directly by Stripe in accordance with applicable payment-industry security standards.

By providing payment information, you represent that you are authorized to use the payment method provided, and you authorize KnowledgeKeepr, through Stripe, to charge that payment method for all Fees due in accordance with your selected Plan, including recurring Fees as described in Section 5.

Your use of Stripe's payment services is also subject to Stripe's own terms and privacy policy. KnowledgeKeepr is not responsible for the acts, omissions, availability, or security of Stripe. If a payment cannot be processed for any reason, your access to paid features may be suspended or terminated as described in Section 6.

5. Recurring Billing and Automatic Renewal

This Section applies to Professional and Enterprise Plans and any other recurring Plan. It does not apply to a Day Pass, which does not renew, or to a basic Band Member Account, which is provided at no charge, except in respect of any paid Plan or paid upgrade a member purchases, to which this Section applies.

  1. Authorization for recurring charges. When you purchase a recurring Plan, you authorize KnowledgeKeepr, through Stripe, to automatically charge your payment method the applicable Fees at the start of each billing cycle (monthly or annually, as selected) until the subscription is cancelled in accordance with Section 6.
  2. Automatic renewal. Your recurring subscription will automatically renew at the end of each billing cycle for a further cycle of the same length, at the then-current Fees for your Plan, unless you cancel before the renewal date.
  3. Renewal pricing. The Fees charged on renewal will be the then-current Fees for your Plan. If those Fees have changed since your last billing cycle, the change will be handled in accordance with Section 9.
  4. Renewal notice. Where required by applicable law, or as a matter of practice for annual subscriptions, KnowledgeKeepr will endeavour to provide advance notice of an upcoming renewal and the applicable Fees to the email address associated with your account.

6. Cancellation, Suspension, and Termination

  1. Cancellation by you. You may cancel a recurring subscription at any time through your account settings or by contacting us at info@knowledgekeepr.com. Cancellation stops the next automatic renewal. Unless otherwise required by law, cancellation takes effect at the end of your current paid billing cycle, and you will retain access to paid features until that cycle ends. We do not provide partial-cycle refunds except as set out in Section 7.
  2. Failed payments. If a payment is declined or cannot be processed, we may retry the charge, and we may suspend or downgrade your access to paid features until payment is successfully made. If payment remains outstanding, we may terminate your subscription.
  3. Suspension or termination by us. KnowledgeKeepr may suspend or terminate your access to the Service in accordance with the General Terms, including for violation of the prohibited uses in Section 6 of the General Terms or, in the case of a Band Member Account, where eligibility cannot be established or is lost. Where access is terminated for cause, no refund will be provided.
  4. Effect of cancellation or termination. Upon cancellation or termination, your licence to access the Service is governed by the General Terms. You remain responsible for all Fees accrued before the effective date of cancellation or termination.

7. Refunds

Except as expressly set out in these Subscription Terms or as required by applicable law, all Fees are non-refundable, and there are no refunds or credits for partial billing periods, unused access, downgrades, or features not used.

  1. Day Pass. A Day Pass is non-refundable once access has been activated. Where a Day Pass has been purchased but access has not yet been activated, you may request a refund within a reasonable time by contacting us.
  2. Annual subscriptions. We may, at our discretion, offer a pro-rated or full refund of an annual subscription on request, in particular where the request is made shortly after purchase or renewal. Any such refund is granted at our discretion unless otherwise required by law.
  3. Statutory rights. Nothing in this Section limits any non-waivable refund or cancellation right you may have under applicable consumer-protection law, as described in Section 10.

8. Taxes

The Fees are exclusive of applicable sales, goods and services, harmonized sales, value-added, or similar taxes ("Taxes"), unless stated otherwise at Checkout. You are responsible for all applicable Taxes associated with your purchase. Where KnowledgeKeepr is required to collect Taxes, they will be added to your Fees and charged to your payment method.

9. Changes to Plans and Fees

KnowledgeKeepr may change the Fees for any Plan, modify the features included in a Plan, or discontinue a Plan. For recurring subscriptions, any increase in Fees or material reduction in features will apply from your next renewal, and we will provide notice of the change to the email address associated with your account before it takes effect. If you do not agree to a change, you may cancel before the change takes effect in accordance with Section 6; your continued use of the Service after the change takes effect constitutes acceptance of the revised Fees or features.

10. Consumer Rights

If you purchase the Service as a consumer, you may have rights under applicable consumer-protection law, including the Business Practices and Consumer Protection Act (British Columbia), that cannot be waived or limited by contract. Nothing in these Subscription Terms or the General Terms is intended to limit or exclude any such non-waivable statutory right, including rights relating to cancellation, refunds, or disclosure of automatically renewing subscriptions. To the extent of any conflict between these Subscription Terms and a non-waivable statutory right, that statutory right prevails.

11. Changes to These Subscription Terms

KnowledgeKeepr may update these Subscription Terms from time to time. Where required by applicable law, we will provide notice of material changes. Changes affecting recurring Fees or renewal will be handled in accordance with Section 9. Your continued use of the Service, or renewal of a paid Plan, after the revised Subscription Terms take effect constitutes acceptance of them.

12. Governing Law

These Subscription Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, consistent with Section 15 of the General Terms.
